By accessing or using the FindLot website (findlot.com) and services operated by Vertex Global Commerce Limited ("Company"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

FindLot provides B2B product sourcing and procurement services, including product discovery, supplier vetting, logistics coordination, trade compliance support, and quality assurance. Our services are available exclusively to registered businesses operating in Hong Kong, Malaysia, and the United States.

3. Eligibility

Our services are intended for use by businesses only. By engaging our services, you represent that you are acting on behalf of a registered business entity and that you have the authority to bind that entity to these terms. Individual consumer orders are not accepted.

4. Service Engagement

All sourcing engagements are initiated through email correspondence. Upon receiving your requirements, we will provide a detailed proposal including scope of work, estimated costs, and timelines. Formal engagement begins only upon your written acceptance of our proposal.

5. Pricing and Payment

Service fees, product costs, and logistics charges will be outlined in each project proposal. All prices are quoted in United States Dollars (USD) unless otherwise specified. Payment terms are agreed upon for each engagement and specified in the relevant proposal or invoice.

6. Intellectual Property

All content on the FindLot website, including text, graphics, logos, and design elements, is the property of Vertex Global Commerce Limited and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written consent.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Vertex Global Commerce Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services. Our total liability shall not exceed the fees paid by you for the specific engagement giving rise to the claim.

8. Disclaimer

While we exercise due diligence in vetting suppliers and inspecting products, we do not guarantee that all products sourced through our services will be free of defects or meet every specification. We act as a sourcing intermediary and are not the manufacturer or producer of the goods procured.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

10. Modifications

We reserve the right to modify these terms at any time. Changes will be effective upon posting to this page. Your continued use of our services following the posting of changes constitutes your acceptance of such changes.
